3. Ordering and Payment

3.1 Orders

All orders are subject to acceptance by FrameCore Kits. We reserve the right to refuse any order for any reason, including but not limited to:

• Product availability
• Errors in product or pricing information
• Credit verification issues
• Suspected fraudulent activity

3.2 Pricing

Prices are subject to change without notice. The price charged will be the price in effect at the time the order is placed. All prices are in U.S. dollars unless otherwise specified.

3.3 Payment Terms

3.4 Taxes

4. Delivery and Risk of Loss

4.1 Delivery Timeline

Delivery times are estimates only and are not guaranteed. FrameCore Kits is not liable for delays in delivery. Standard delivery times are:

• 3-4 weeks for standard kits
• 4-6 weeks for custom projects
• Rush delivery available with additional fees

4.2 Shipping and Unloading

Unless otherwise agreed:

• Delivery is to the curb or accessible location via semi-truck
• Customer is responsible for unloading
• Customer must have appropriate equipment and personnel for unloading
• Driver will not assist with unloading

4.3 Risk of Loss

Risk of loss passes to you upon delivery of the products to the carrier. You should inspect all shipments immediately upon receipt and note any damage on the delivery receipt.

4.4 Missing or Damaged Items

Claims for missing or damaged items must be reported within 5 days of delivery. Please provide photographs and detailed descriptions of any issues.

5. Warranties and Disclaimers

5.1 Limited Warranty

FrameCore Kits provides the following warranties:

• 50-year structural warranty on steel frames
• 40-year warranty on Galvalume panels
• 40-year paint warranty on colored panels
• 20-year warranty on fasteners and trim
• 1-year warranty on accessories

5.2 Warranty Conditions

Warranties are valid only when:

• Products are installed according to our specifications
• Regular maintenance is performed as recommended
• Products are used for their intended purpose
• No unauthorized modifications are made

5.3 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

6.1 Limitation of Damages

IN NO EVENT SHALL FRAMECORE KITS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

6.2 Maximum Liability

Our total liability to you for any damages shall not exceed the amount paid by you for the product giving rise to the claim.

6.3 Basis of Bargain

You acknowledge that FrameCore Kits has set its prices and entered into these Terms in reliance upon the limitations of liability set forth herein, which form an essential basis of the bargain between us.

7. Intellectual Property

7.1 Ownership

All content on our website, including but not limited to text, graphics, logos, images, and software, is the property of FrameCore Kits and is protected by intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes.

7.3 Prohibited Uses

You may not:

• Copy, modify, or distribute our content without permission
• Use our content for commercial purposes
• Reverse engineer our products or designs
• Remove any proprietary notices

8. Dispute Resolution

8.1 Governing Law

These Terms shall be governed by the laws of Wyoming, without regard to its conflict of law provisions.

8.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Wyoming.

8.3 Class Action Waiver

You agree to resolve disputes with FrameCore Kits on an individual basis and waive your right to participate in any class action or class-wide arbitration.

8.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

9. General Provisions

9.1 Entire Agreement

These Terms constitute the entire agreement between you and FrameCore Kits regarding the use of our services and supersede all prior agreements and understandings.

9.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

9.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

9.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
